Establish your business in the UAE. Build it correctly from day one.

Victory Gate helps international companies, entrepreneurs and investors establish and operate in the United Arab Emirates. From jurisdiction selection and incorporation to tax, banking, hiring, accounting and ongoing compliance, we coordinate the local ecosystem so you can focus on your business.

Jurisdictions covered across Dubai, Abu Dhabi and Sharjah

Positioning

We don't just open a licence. We design your UAE presence around your business.

Victory Gate helps international companies establish, structure and operate their business in the UAE — from choosing the right jurisdiction to becoming fully operational. We understand what the business is trying to do in the UAE and design the setup around that: jurisdiction, structure, banking, tax, people, and ongoing operations, coordinated as one relationship instead of ten separate vendors.

Three ways we work with you: UAE Market Entry & Soft Landing, Capital Advisory & FX, and International Corporate Advisory.

01

UAE Market Entry & Soft Landing

Establish and operate your business in the UAE — from jurisdiction selection through to a fully running operation.

Jurisdiction

The UAE has many jurisdictions. We help you choose the right one.

There is no single "best" place to establish a company in the UAE. The right structure depends on what you are trying to do — your activity, your shareholders, where your customers and employees are, whether you need to operate on the mainland, and how the company will be taxed and banked.

What the choice depends on

What you do
Where your customers are
Where your employees will be
Whether you need to operate on the UAE mainland
Whether you need a regulated structure
Whether you are importing or exporting
Where your shareholders are based
How the company will be taxed
What kind of banking you require

JAFZA supports structures including FZE, FZCO and branches, with trading, service, industrial and logistics licences. ADGM provides incorporation and registration for legal entities and operates under an English common-law-based legal framework. DIFC accommodates both financial and non-financial businesses, with specific regulatory requirements for financial firms — for example, a DIFC commercial licence does not by itself authorize financial activities that require a DFSA licence.

We help you choose the jurisdiction based on your business — not the other way around.

Formation

From idea to incorporated company.

We coordinate the incorporation process with the relevant UAE authorities and professional partners.

  • Jurisdiction selection
  • Business activity selection
  • Legal structure and shareholder structure (corporate or individual shareholders, parent company structures)
  • UAE subsidiaries and branches of foreign companies
  • Trade name registration and initial approvals
  • Memorandum & Articles of Association
  • Incorporation documentation and licensing
  • Registered office / workspace
  • Government registrations

For mainland companies, the UAE process generally involves selecting the activity and legal form, obtaining initial approval, registering the trade name, securing premises and obtaining any required additional approvals. For free zones, the available legal entities and requirements differ by authority.

Our role is to coordinate the process and make sure the structure makes sense before you commit.

Compliance

Keep the company operational after incorporation.

We can coordinate:

  • Accounting — monthly bookkeeping, financial statements
  • Tax — Corporate Tax and VAT compliance
  • Payroll — salary administration and related processes
  • Financial Reporting — management accounts and shareholder reporting
  • Compliance Calendar — tracking recurring corporate and regulatory obligations
  • Audit — coordination with external auditors where required

The FTA operates Corporate Tax registration through EmaraTax, and VAT registration is handled through the same system.

People

Bringing your team to the UAE.

A successful soft landing is not only about the company — it's about getting your people operational. We coordinate:

  • Employee and founder/shareholder visas, work permits
  • Employment contracts and payroll setup
  • Health insurance coordination and HR administration
  • Employee onboarding and local employment requirements

UAE private-sector employers are subject to labour regulations, including requirements around the employment relationship and wage payments (Wage Protection System).

Example

"I am moving my consulting company from Spain to Dubai and bringing three partners and six employees." We coordinate the different pieces required to turn the corporate setup into an operating business.

Suppliers

You don't know the UAE market yet. That's where we help.

International companies often arrive with a company structure but no local operating network. We help coordinate introductions to lawyers, accountants, auditors, banks, insurance companies, HR and recruitment providers, PRO services, corporate service providers, real estate and office providers, technology providers, logistics and customs providers, and other specialist suppliers.

You bring the business. We help you build the local infrastructure around it.

Government

One local point of coordination.

The UAE business environment involves multiple authorities depending on the structure and activity — Free Zone Authorities, Economic Departments, the FTA, immigration and labour authorities, customs, sector-specific regulators and corporate registries. Instead of navigating each institution independently, we coordinate the process across the relevant parties.

Abu Dhabi's economic licensing framework includes licences, permits and categories administered through its authorities and the TAMM platform. For the Creative Media Authority, the authority itself handles licensing and registration of FZ-LLCs, branches and freelancers within the Creative Zone.

Ongoing Support

Your partner in the UAE after incorporation.

The relationship doesn't end when the licence is issued. As the business grows, we help coordinate new shareholders, changes in ownership, new directors, new activities and subsidiaries, branches, relocation, additional visas, banking changes, corporate restructuring, tax and transfer-pricing coordination, and expansion into other UAE jurisdictions or the wider region.

02

Capital Advisory & FX

Move, manage and protect your international capital once the company is up and running.

Banking & FX

Incorporating the company is only the beginning.

A company without the right banking and financial infrastructure cannot operate efficiently. We coordinate support for:

  • Corporate bank account opening and banking introductions
  • Payment infrastructure and multi-currency accounts
  • Treasury, international payments and FX
  • Hedging
  • Corporate cards and payment providers
  • Financing introductions

Banks will want to understand the business model, shareholders, source of funds, expected transactions and international flows before opening an account. Our role is to help prepare the company and coordinate introductions with appropriate financial institutions.

03

International Corporate Advisory

Structure your cross-border business, shareholders and subsidiaries around the UAE entity.

Structuring

More than opening a company.

For an international group, the UAE company may need to sit within a larger corporate structure. We help coordinate:

  • UAE Subsidiaries — establishing a UAE company underneath an existing international group
  • Branches — bringing an existing foreign company into the UAE
  • Holding Structures — creating UAE entities to hold investments or operating subsidiaries
  • Multiple Shareholders — structuring ownership between founders, partners or investment entities
  • Management Relocation — helping business owners establish their UAE presence within their wider international structure
  • Regional Headquarters — establishing a UAE entity to coordinate operations across the Middle East and other markets

The objective is not simply to incorporate a company. It is to create a structure that works with the company's ownership, operations, people, cash flows and international tax position.

Tax & Transfer Pricing

Your UAE company does not exist in isolation.

International companies need to consider how the UAE entity interacts with their existing companies. We coordinate with tax specialists on:

  • UAE Corporate Tax and VAT, tax registration and compliance
  • Related-party transactions and transfer pricing
  • Intercompany services and management fees
  • Intercompany financing and profit allocation
  • International tax considerations and group restructuring

UAE Corporate Tax applies broadly to UAE businesses, including those operating in free zones, though specific free-zone incentives and conditions apply depending on activity and structure (qualifying vs. non-qualifying income). Transfer pricing rules also apply to UAE businesses dealing with related parties and connected persons, including cross-border transactions, generally on an arm's-length basis. These rules are activity- and structure-specific — we coordinate the right licensed tax specialists rather than presenting this as a one-size-fits-all outcome.

Example

A Spanish consulting group opens a UAE subsidiary. The UAE company receives management support from Spain, pays the Spanish parent, invoices clients in the Middle East, employs local staff and generates UAE revenue. We help coordinate the right specialists to make sure the commercial, corporate and tax structure work together.

Case Study

From European Consulting Firm to UAE Regional Hub

The Situation

A European consulting company wants to establish a Dubai presence. The founders want to move two partners to Dubai, establish a UAE company, hire local employees, invoice Middle Eastern clients, receive international payments, maintain the European parent company, and move certain functions to Dubai.

The Challenge

Which jurisdiction? Which legal entity? How should the UAE company interact with the parent? How should intercompany services be priced? How do the founders move? Which bank should they approach? Who handles accounting and tax? Who manages ongoing compliance?

Victory Gate's Approach

We map the business first, then coordinate the relevant specialists and authorities.

Business model→Jurisdiction→Corporate structure→Licensing→Banking→Tax→People→Operations
The Result

The client doesn't manage ten different providers independently. One relationship. One coordinated process. One UAE market-entry plan.

Process

How we work, from first conversation to ongoing support.

1

Understand

Tell us what you're trying to build: your business, shareholders, countries, activities, clients, employees, expected revenues, international flows.

2

Structure

We identify the appropriate UAE setup: jurisdiction, legal entity, ownership, licensing, tax considerations, banking requirements.

3

Establish

We coordinate incorporation and licensing: authorities, documents, corporate structure, office, visas, banking.

4

Operate

We help you become operational: accounting, tax, HR, payroll, banking, suppliers, compliance.

5

Grow

We stay involved as your UAE presence develops: new entities, new shareholders, new employees, new jurisdictions, international transactions, regional expansion.

Difference

We don't just sell you a licence.

There are hundreds of companies that can help you incorporate a UAE company. Our approach starts with the business, then determines: What should you establish? Where? How should it be owned? How will it operate? How will money move? How will people move? How will the UAE entity interact with the international group? What needs to happen after incorporation?

That is what we mean by soft landing.
